MEET GILAD

Gilad is a corporate transactional attorney with over a decade of experience advising clients across private equity, venture capital, M&A, financing, and cross-border transactions. He has served as lead counsel and as a primary associate on high-value matters ranging from complex roll-up mergers and venture fund formation to institutional lending arrangements, securities offerings, and joint ventures. Gilad regularly advises growth companies, fund sponsors, financial institutions, and emerging businesses on governance, compliance, and strategic transactions across diverse industries, including AI and robotics, fintech, biopharma, entertainment, and real estate. Gilad’s extensive background also includes serving as general outside counsel to middle-market companies and representing clients with significant cross-border and regulatory considerations.

Gilad’s background cohesively merges law, technology, business, and sports, which has molded his cutting-edge, interdisciplinary approach to delivering strategic legal advice and winning solutions. Gilad’s practice emphasizes national and cross-border transactions, including buy and sell-side M&A, debt and equity financing arrangements, venture capital and private equity investment, institutional lending practices, and project finance and development. Gilad is experienced in handling public and private company security offerings and maintains a robust capital markets practice that represents both issuers and underwriters in a host of debt offerings across fixed-income securities, investment-grade debt, leveraged capital, high-yield debt, and hybrid capital. Gilad’s practice additionally includes project finance representation of lenders, sponsors, developers, institutional investors, contractors, operators, and government entities in major domestic and cross-border work. On the international front, Gilad’s representative experience includes advising both parent and member entities involved with the Kingdom of Saudi Arabia and its premier basketball league, as well as in Israel, with the top basketball division (Winner's League), on its umbrella sponsorship endeavors and opportunities. Mr. Berkowitz is proficient in CARTA and also serves as general outside counsel, handling various types of agreements throughout the contract lifecycle, as well as equity interests for companies across a wide range of industries, including pharma, fintech, e-gaming, online betting, and sports industry platforms. He also advises companies and individuals on a wide range of IP-related matters, including technology transfers, licensing arrangements, joint ventures, and partnerships.


PAST EXPERIENCES

Previously, Gilad has worked on buy and sell-side transactions to or for private equity-backed buyers, legacy businesses, emerging growth-oriented tech companies, and biotech industry players. Gilad has also represented credit unions and other financial institutions in commercial finance transactions and other collateral-based arrangements, as well as represented borrowers across the full scope of asset-based lending, including various forms of revolving working capital loan arrangements. In particular, Gilad has advised investors and insurance companies on CLOs, syndicated loans, and other asset-based lending arrangements.

Gilad is also equipped to navigate the complex regulatory e-gaming environment with past experience serving as strategic legal counsel to operators, payment processors, and industry stakeholders. Gilad’s robust sports and entertainment practice also includes representative experience with Name Image and Likeness (NIL) on both the institution and player side representation, live content distribution for various league stakeholders, including the Premier Lacrosse League (PLL), emerging platform development for creators, and the monetization of biometric data synthesis for stadiums.

Gilad’s global footprint includes an emphasis on the Middle East and Sub-Saharan Africa with representative experience that ranges from basic market entry work to complex asset dispositions in the minerals and natural resource sectors. While in law school, Gilad wrote and edited for the Duke Law & Technology Journal and was President of the Sports and Entertainment Law Society. Before practicing law, he founded a talent agency that represented over 100 professional athletes and artists in contract negotiations, marketing, and public relations.
